Syncro Community Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Syncro Community forum at community.syncromsp.com (the “Community”), operated by Syncro Technologies, Inc. (“Syncro Technologies,” “we,” “our,” or “us”). By accessing or using the Community, you agree to be bound by these Terms. If you do not agree, do not access or use the Community.

These Terms apply only to the Community. Use of Syncro Technologies’ products and services is governed separately by our User Access and License Agreement at Syncro | Service Terms .

Important Terms

These Terms include provisions that affect your rights and responsibilities, including limitations on our liability, your agreement to indemnify Syncro Technologies for misuse of the Community, and an agreement to resolve disputes through binding arbitration. Please read them carefully.

Eligibility

To use the Community, you must be at least 16 years old. By using the Community, you represent that you meet this requirement. If you are under 18, you represent that you have your parent or guardian’s permission to use the Community.

Your Account

Registration

To participate in the Community, you must create an account. You agree to provide a valid email address and keep it current. You may also be required to create a username.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately if you suspect unauthorized access to your account by contacting us at help@syncrosecure.com.

Account Closure

You may close your account at any time by contacting us at help@syncrosecure.com. We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms, with or without prior notice.

Acceptable Use

You agree to use the Community only for lawful purposes and in a manner consistent with our Community Guidelines (available at Guidelines - Syncro Community ), which are incorporated into these Terms by reference.

You may not:

  1. Violate any applicable local, state, national, or international law or regulation.

  2. Access or attempt to access another user’s account without their permission.

  3. Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

  4. Post, upload, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.

  5. Post content that infringes any third party’s intellectual property rights, violates anyone’s privacy, or breaches any agreement you have with others.

  6. Post spam, unsolicited advertisements, chain letters, or other solicitations.

  7. Collect or harvest personal information about other users without their consent.

  8. Automate access to the Community, including through bots, scrapers, crawlers, or other automated means, without our prior written consent.

  9. Introduce malicious code, viruses, or other harmful software into the Community.

  10. Attempt to disable, circumvent, or otherwise interfere with the security or technical features of the Community.

  11. Use the Community to build or offer a competing product or service.

  12. Encourage or assist anyone else in violating these Terms.

Your Content

Ownership

You retain ownership of any content you post to the Community (“User Content”). By posting User Content, you grant Syncro Technologies a worldwide, non-exclusive, royalty-free, perpetual license to use, copy, reproduce, process, adapt, publish, display, and distribute your User Content as necessary to operate and provide the Community. This license ends when your content is removed from the Community and all backup copies have been deleted, except to the extent that other users have independently shared or stored your content.

Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the rights to post the User Content.

  • The User Content does not violate these Terms, our Community Guidelines, or any applicable law.

  • The User Content does not infringe the intellectual property, privacy, or other rights of any third party.

Moderation

Syncro Technologies reserves the right, but has no obligation, to review, edit, remove, or refuse any User Content at any time and for any reason, including if we believe the content violates these Terms or our Community Guidelines. We may also preserve and disclose User Content if required by law or if we have a good faith belief that such disclosure is necessary to comply with a legal process, enforce these Terms, or protect the rights, property, or safety of Syncro Technologies, our users, or the public.

Intellectual Property

The Community, including its design, features, and content provided by Syncro Technologies (excluding User Content), is owned by Syncro Technologies and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Syncro Technologies’ trademarks, logos, or other proprietary materials without our prior written consent.

Feedback

If you provide suggestions, ideas, or feedback about the Community, you agree that Syncro Technologies may use your feedback without any obligation to you. Syncro Technologies will own all rights in any improvements or changes made based on your feedback.

Privacy

Your use of the Community is subject to our Community Privacy Policy at Privacy - Syncro Community . By using the Community, you consent to the collection and use of your information as described in that Policy.

Disclaimers

The Community is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Syncro Technologies does not warrant that the Community will be uninterrupted, error-free, or free of harmful components.

Syncro Technologies is not responsible for the accuracy, completeness, or usefulness of any User Content posted by other users. Reliance on any information posted in the Community is at your own risk.

The Community may contain links to third-party websites or resources. Syncro Technologies is not responsible for the content, availability, or privacy practices of those sites. Links do not constitute an endorsement.

Limitation of Liability

To the fullest extent permitted by applicable law, Syncro Technologies and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Community, including but not limited to loss of data, loss of profits, or loss of goodwill, even if Syncro Technologies has been advised of the possibility of such damages.

In any event, Syncro Technologies’ total liability to you for any claims arising out of or related to these Terms or the Community will not exceed $50.

Indemnification

You agree to indemnify and hold harmless Syncro Technologies and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Community; (b) your User Content; (c) your violation of these Terms or our Community Guidelines; or (d) your violation of any applicable law or the rights of any third party.

Termination

Either you or Syncro Technologies may terminate your access to the Community at any time. Upon termination, your right to access and use the Community will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including the sections on Your Content, Feedback, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Disputes.

Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.

You and Syncro Technologies agree to seek injunctions related to these Terms only in state or federal courts located in Hillsborough County, Florida. Neither party will object to jurisdiction, forum, or venue in those courts for such purposes.

Except for claims seeking injunctive or other equitable relief, any dispute arising out of or related to these Terms or your use of the Community will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration will be conducted in English and will take place in Tampa, Florida. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any dispute resolution will be conducted on an individual basis. You may not bring claims as a plaintiff or class member in any class action or representative proceeding.

General

Entire Agreement. These Terms, together with our Community Guidelines and Community Privacy Policy, constitute the entire agreement between you and Syncro Technologies regarding your use of the Community.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No Waiver. Syncro Technologies’ failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without Syncro Technologies’ prior written consent. Syncro Technologies may freely assign its rights and obligations.

Changes. Syncro Technologies may update these Terms at any time. When we do, we will post the updated Terms and update the “Last updated” date at the top of this page. For material changes, we will endeavor to provide reasonable notice through the Community. Your continued use of the Community after changes take effect constitutes your acceptance of the updated Terms.
